Affiliate Agreement

1. Agreement and Acceptance

This Affiliate Agreement ("Agreement") is between PineScripter ("PineScripter", "we", "us", "our") and the person or entity that applies to or takes part in the PineScripter Affiliate Program ("you", "Affiliate"). It governs your participation in the Program and every promotion of PineScripter you make in connection with it.

You accept this Agreement by ticking the box that says you agree to it, by submitting an application, by accepting the terms on the affiliate portal, or by sharing an Affiliate Link, whichever happens first. If you do not agree to every term, do not apply, and do not share an Affiliate Link.

You confirm that you are at least 18 years old and legally able to enter into contracts where you live. If you accept on behalf of a company or other entity, you confirm that you have authority to bind it, and "you" means that entity.

Our Terms of Service, Privacy Policy, and Disclaimer also apply to your use of PineScripter. If one of them conflicts with this Agreement about the Program, this Agreement controls.

2. Definitions

• "Program" means the PineScripter Affiliate Program described in this Agreement.
• "Affiliate Link" means the unique referral link, code, or identifier we or our affiliate platform issue to you.
• "Affiliate Platform" means the third-party service we use to run the Program, track referrals, and report commissions, currently Affonso.
• "Referral Window" means the 30 days after a person last clicks your Affiliate Link.
• "Referred Customer" means a person who is new to PineScripter, clicks your Affiliate Link, and starts a paid PineScripter subscription within the Referral Window, where the Affiliate Platform attributes that subscription to you.
• "Referred Subscription" means the paid subscription a Referred Customer starts as described above, including later upgrades and downgrades of that same subscription.
• "Net Revenue" means the amount we actually receive from a Referred Customer for a Referred Subscription, excluding sales tax, VAT, GST, and similar taxes, and less any refunds, chargebacks, credits, and reversals.
• "Promotional Content" means anything you publish, send, say, or display that mentions PineScripter or contains your Affiliate Link, in any format and on any channel, including posts, videos, livestreams, comments, emails, ads, scripts, descriptions, and direct messages.

3. Joining the Program

You must apply to join. We may accept or reject any application at our sole discretion and we do not have to give a reason. We may ask you to confirm your identity, your tax details, and the channels where you plan to promote PineScripter, and we may reject or remove you if you do not.

The information you give us must be true and kept up to date. You may hold one affiliate account only, unless we agree otherwise in writing.

4. What PineScripter Is, and How You Must Describe It

PineScripter is a software developer tool. It uses AI to help people write, edit, explain, and check code in Pine Script, the language used to build custom indicators and strategies on TradingView. It can also display charts and run simulations of a script for testing. That is all it does.

PineScripter is not a broker, exchange, investment adviser, financial planner, fund, copy-trading service, or provider of trade ideas, picks, or buy or sell calls. It does not give financial, investment, trading, tax, or legal advice. It does not know whether any indicator or strategy will work in live markets. Code it produces can contain errors, and simulated results are not real trading results and do not predict future results.

Whenever you describe PineScripter, you must describe it as a developer or coding tool, consistent with this section. Where your Promotional Content discusses trading, markets, indicators, or strategies, you must also state clearly that PineScripter is a developer tool, that it does not provide financial advice, and that trading involves risk, including the risk of losing money.

Wording you may use, or adapt without changing its meaning: "PineScripter is an AI tool that helps you write Pine Script code for TradingView. It is a developer tool, not financial advice, and nothing built with it is guaranteed to perform. Trading involves risk."

5. Prohibited Claims

This section is a core term of this Agreement. You must not make, state, imply, or allow anyone acting for you to make any of the following claims, in words, images, audio, video, captions, thumbnails, usernames, or any other form, whether or not you add a disclaimer:

• That PineScripter, or any indicator, strategy, alert, or script made with it, will make, has made, or is likely to make anyone money, profit, income, or returns, or that it is "profitable", "winning", "money-making", or a way to "get rich".
• That any result is guaranteed, consistent, reliable, passive, automatic, risk-free, low-risk, or "can't lose", or that a user can replace their job or income with trading.
• Any specific or implied figure for returns, profits, win rate, accuracy, profit factor, drawdown, or similar performance measure for anything made with PineScripter, such as "90% win rate", "10x your account", or "makes $500 a day".
• That PineScripter or anything made with it predicts markets, beats the market, gives an edge, finds winning trades, or tells people when to buy or sell.
• That PineScripter provides trade ideas, picks, calls, buy or sell signals, or financial, investment, or trading advice of any kind.
• That you, PineScripter, or anyone connected with PineScripter is licensed, registered, or authorised to give financial or investment advice, or that PineScripter is approved, reviewed, or endorsed by any regulator, exchange, or broker.
• That PineScripter is affiliated with, endorsed by, or sponsored by TradingView or any other company, or that you are an employee, partner, or official representative of PineScripter.
• That PineScripter has a feature, price, discount, offer, or availability that it does not have, or that its code is error-free or guaranteed to compile, run, or behave as intended.
• False or unsupported statements about competitors, or fake urgency or scarcity such as invented deadlines or limited places.

You must also not do any of the following in connection with PineScripter:

• Show or describe trading profits, account balances, brokerage or exchange statements, P&L screenshots, payout proofs, or performance results, real or simulated, alongside PineScripter, your Affiliate Link, or anything made with PineScripter.
• Present simulated, backtested, or replayed results as if they were real or as an indication of future results.
• Use "guru" or lifestyle marketing that ties PineScripter to wealth, such as luxury goods, piles of cash, "financial freedom", "quit your job", or "be your own boss" messaging.
• Use testimonials or reviews that are fake, AI-generated as if real, paid for without disclosure, or that describe trading gains.
• Promote PineScripter as part of, or bundled with, a paid signal group, trade-call service, copy-trading service, managed account, investment pool, funded-account or prop-firm challenge, token or coin offering, or "get rich" course, or in any way that suggests PineScripter is part of or endorses such a service.
• Target or knowingly promote PineScripter to anyone under 18.

If you are unsure whether something is allowed, do not publish it. Email us first and we will tell you. Adding "not financial advice" or a similar disclaimer does not make a prohibited claim allowed.

6. Required Disclosures

Every piece of Promotional Content must clearly disclose that you earn a commission from PineScripter, in a way that is easy to notice and understand before someone clicks your link. Plain wording such as "I earn a commission if you subscribe through my link" or "Paid link" works. A bare "affiliate link" label, a hashtag hidden among others, or a disclosure only on a separate page, behind a "more" button, or at the end of a long video is not enough.

• In videos and livestreams, say the disclosure out loud and show it on screen, and repeat it in the description next to the link.
• On social media, put the disclosure at the start of the post or caption, and use the platform's own paid-partnership or branded-content tool where it has one.
• In articles, newsletters, and emails, put the disclosure before or right next to the first link.
• Where Promotional Content discusses trading or markets, include the developer tool and risk statement required in the section above.

You are responsible for meeting the disclosure rules that apply to you, which may include the US Federal Trade Commission's Endorsement Guides, the UK CAP Code and ASA guidance, and the equivalent rules where you and your audience are located. Where those rules require more than this section, follow them.

7. Prohibited Promotional Methods

You must not:

• Send spam or unsolicited messages, including bulk email, direct messages, or comments, or any email that breaks anti-spam law such as CAN-SPAM, CASL, or PECR.
• Post your link where the community or platform rules do not allow it, or break the rules of any platform you use, including TradingView's House Rules.
• Bid on "PineScripter", "Pine Scripter", or any misspelling or variation of our name or domain as a keyword in paid search or social ads, or use them in ad copy or display URLs, without our written permission.
• Register or use domain names, social media handles, app names, or accounts that contain "PineScripter" or a confusingly similar name, or that impersonate us.
• Use cookie stuffing, forced clicks, hidden iframes, pop-unders, adware, browser extensions, bots, or any method that sets a referral cookie without a person knowingly clicking your link.
• Offer people cash, rebates, or other rewards for signing up through your link, unless we approve it in writing.
• Publish coupon or discount codes that were not issued to you, or list your link on coupon, deal, or cashback sites without our written approval.
• Refer yourself, your own accounts, or people who share your household, or create fake accounts or subscriptions.
• Use any method that is fraudulent, deceptive, or unlawful, or that harms PineScripter's reputation.

8. Use of Our Name and Materials

While you are in the Program and in good standing, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the PineScripter name, logo, and the materials we provide, only to promote PineScripter under this Agreement. You must not change our logo or materials, or combine them with other marks in a way that suggests a partnership or endorsement. All goodwill from your use belongs to us, and this licence ends automatically when your participation ends.

9. Monitoring, Corrections, and Removal

We may review any Promotional Content at any time. On request, you must tell us where you promote PineScripter and give us copies of your Promotional Content. If we ask you to correct, edit, or remove any Promotional Content, you must do so within 48 hours, and where we ask, you must publish a correction. We may also require you to submit paid ads or specific campaigns for approval before they run.

10. Commissions

Rate. We pay you a commission of 30% of the Net Revenue we receive for each Referred Subscription, for each billing period the Referred Subscription stays active and paid, for as long as you remain in the Program in good standing.

Attribution. A referral is credited to you only if the Affiliate Platform records it as yours. If more than one affiliate link was clicked, the last one clicked within the Referral Window gets the credit. Referrals that are not tracked, including because of blocked cookies, ad blockers, private browsing, or a person switching device or browser, are not credited. Our and the Affiliate Platform's tracking records are final, except where they contain an obvious error that we correct.

Length of a referral. Commission on a Referred Subscription stops when that subscription is cancelled, ends, or lapses. If the person later starts a new subscription, it is credited only if they come back through an affiliate link within a new Referral Window.

No commission is earned on: payments that are refunded, charged back, or reversed; self-referrals or referrals of your own or related accounts; people who already have, or have previously had, a PineScripter subscription; referrals obtained through any method this Agreement prohibits or through Promotional Content that breaks this Agreement; or fraudulent or suspicious transactions.

Holding period and clawback. Each commission is held as pending for at least 30 days after the payment it relates to, to allow for refunds and chargebacks. If a payment is refunded, charged back, or found to be ineligible after its commission was paid, we may deduct that amount from your future commissions or ask you to repay it.

Payouts. Approved commissions are paid through the Affiliate Platform, in US dollars, on the schedule, payout methods, and minimum payout amount shown in your affiliate dashboard. Balances below the minimum carry over. You are responsible for any fees your payment provider or bank charges you, and for giving us accurate payout details. We are not responsible for payments sent to details you gave us that turn out to be wrong.

Taxes. You are responsible for all taxes on your commissions. You must provide any tax forms we or the Affiliate Platform reasonably request, such as a W-9 or W-8BEN, and we may withhold payment until you do or withhold tax where the law requires.

Changes to the rate. We may change the commission rate or other commission terms by giving you at least 30 days' notice. A rate change applies to referrals made after it takes effect. Referred Subscriptions you referred before then keep the rate that applied when they started, so long as you remain in the Program in good standing.

Withholding for breach. If we reasonably believe you have broken this Agreement, we may hold your commissions while we investigate. If we confirm a breach, we may permanently cancel commissions earned through, or during the period of, the breach, and recover commissions already paid for them.

11. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, franchise, or joint venture relationship. You have no authority to make promises, statements, or commitments on our behalf, and you pay your own costs of promoting PineScripter. The Program is not exclusive for either of us.

12. Compliance with Laws

You must comply with all laws and regulations that apply to your Promotional Content and to your participation in the Program, including advertising and consumer protection law, rules on financial promotions and financial influencers ("finfluencers"), securities and derivatives rules, anti-spam and privacy law, sanctions, and anti-bribery law.

You confirm that you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and that you are not on any government sanctions or restricted party list.

13. Data and Privacy

The Affiliate Platform processes your personal data and tracking data to run the Program. Information about Referred Customers belongs to us. You will see only the reporting the Affiliate Platform provides, and you must not try to identify, contact, or collect data about Referred Customers through the Program. If you collect personal data in your own promotions, you are responsible for doing so lawfully.

14. Confidentiality

Information we share with you that is not public, including unreleased features, commission terms offered only to you, and reporting data, is confidential. You must not share it with anyone else, except as the law requires.

15. Term and Termination

This Agreement starts when you accept it and continues until either of us ends it. You may leave the Program at any time by emailing us. We may end your participation at any time, for any reason or no reason, with notice by email. We may end it immediately and without prior notice if we believe you have broken this Agreement, acted dishonestly, or put PineScripter at legal or reputational risk.

When your participation ends: your licence to use our name and materials ends; you must stop promoting PineScripter as an affiliate and remove your Affiliate Links and our materials from your Promotional Content within 7 days; and your Affiliate Link stops earning commission. If it ends for a reason other than your breach, we will pay approved commissions earned up to the end date, subject to the holding period and clawback terms. If it ends because of your breach, unpaid commissions are forfeited.

16. Disclaimers

The Program, the Affiliate Platform, and all tracking and reporting are provided "as is" and "as available", without warranties of any kind, express or implied. We do not promise that you will earn any amount, that tracking will capture every referral, or that the Program or PineScripter will be available without interruption or errors.

17. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, commissions, data, or goodwill, arising out of or relating to this Agreement or the Program. Our total liability for all claims arising out of or relating to this Agreement or the Program will not exceed the commissions paid to you in the six (6) months before the event giving rise to the claim.

18. Indemnification

You will defend, indemnify, and hold harmless PineScripter and its owners, employees, and contractors from and against all claims, demands, investigations, regulatory inquiries, losses, damages, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to: your Promotional Content; any claim, statement, or promise you make about PineScripter or about trading; your breach of this Agreement; your breach of any law or the rights of any third party; or anything that happens between you and the people you promote to.

19. Changes to This Agreement

We may change this Agreement. Each version has its own identifier and effective date. We will give you at least 15 days' notice of a material change by email or through the affiliate dashboard, except where a change is needed sooner to comply with the law, in which case it takes effect when we tell you. If you keep taking part in the Program after a change takes effect, you accept it. If you do not agree to a change, you must leave the Program before it takes effect. Changes to the commission rate follow the commission section above.

20. General

Entire agreement. This Agreement, together with the documents it refers to, is the entire agreement between us about the Program and replaces any earlier understanding about it. Any statement about the Program on our website or elsewhere is a summary only, and this Agreement controls.

Assignment. You may not assign or transfer this Agreement or your commissions without our written consent. We may assign it, including as part of a merger, acquisition, or sale of assets.

Notices. We may give you notice by email to the address on your affiliate account or through the affiliate dashboard. You may give us notice by emailing siddhant@pinescripter.app.

Severability and waiver. If any part of this Agreement is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our not enforcing a term is not a waiver of our right to enforce it later.

Survival. The sections on prohibited claims (as to content already published), commissions (as to clawback and taxes), confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive the end of this Agreement.

21. Governing Law and Disputes

This Agreement is governed by the same law that governs our Terms of Service, without regard to conflict-of-laws rules. Before starting any claim, you must first email us at siddhant@pinescripter.app and give us at least 60 days to resolve it informally.

To the fullest extent permitted by law, any dispute arising out of or relating to this Agreement or the Program that is not resolved informally will be resolved by final and binding individual arbitration, as described in the Governing Law and Dispute Resolution section of our Terms of Service. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, or representative proceeding. Either of us may seek an injunction or other urgent relief in court to stop a breach of the sections on prohibited claims, prohibited methods, use of our name, or confidentiality.
